Quarterly estimated tax calculations
Tax calendar and deadline management
Integration with third-party accounting and financial software

Taxy is a software tool and does not provide tax, legal, or accounting advice. Our Services are designed to assist you with tax compliance, but you should consult with qualified tax professionals for specific advice.

3. Account Registration

3.1 Account Creation

To use certain features of our Services, you must create an account. You agree to:

Provide accurate, current, and complete information during registration
Maintain and promptly update your account information
Keep your password secure and confidential
Notify us immediately of any unauthorized access to your account
Be responsible for all activities that occur under your account

4. Subscription and Payment

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TAXY DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.

TAXY IS NOT A TAX, LEGAL, OR ACCOUNTING FIRM AND DOES NOT PROVIDE TAX, LEGAL, OR ACCOUNTING ADVICE. THE SERVICES ARE TOOLS TO ASSIST WITH TAX COMPLIANCE AND SHOULD NOT BE RELIED UPON AS A SUBSTITUTE FOR PROFESSIONAL ADVICE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL TAXY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

IN NO EVENT SHALL TAXY'S TOTAL LIABILITY EXCEED THE AMOUNTS PAID BY YOU TO TAXY DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless Taxy and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

Your use of the Services
Your violation of these Terms
Your violation of any rights of a third party
Any content or data you provide through the Services

12. Termination

12.1 Termination by You

You may terminate your account at any time by contacting us or through your account settings.

12.2 Termination by Taxy

We may suspend or terminate your account and access to the Services at any time, with or without cause, with or without notice. Reasons for termination may include, but are not limited to:

Violation of these Terms
Fraudulent, abusive, or illegal activity
Non-payment of fees
Extended periods of inactivity

12.3 Effect of Termination

Upon termination, your right to use the Services will immediately cease. You may request a copy of Your Data for a period of 30 days following termination. After this period, we may delete Your Data.

13. Dispute Resolution

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.

13.2 Arbitration

Any dispute arising from these Terms shall be resolved by binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The arbitration shall take place in San Francisco, California.

13.3 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

14. General Provisions

14.1 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Taxy regarding the Services.

14.2 Modifications

We may modify these Terms at any time. We will provide notice of material changes through the Services or by email. Your continued use of the Services after such modifications constitutes acceptance of the updated Terms.

14.3 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

14.4 Waiver

Our failure to enforce any right or provision of these Terms will not constitute a waiver of such right or provision.

14.5 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.
